DESCRIPTION OF PROMOTION:
This KFC “Rock the World Contest” (“Contest”) is produced by YouCast Corporation and sponsored by their Sponsor Partner, KFC. (YouCast Corporation and Sponsor Partners are herefore referred to as “Sponsors.”) The Contest provides entrants with the opportunity to win Prizes based on engaging with a KFC Media Application (“KFC Media Application”). All details pertaining to the KFC Media Application and Prizes can be found on the page for the specific Contest on www.TBD.com. No Entries will be received after the Contest has closed unless the Contest periods are extended by the Sponsors in the Sponsors’ sole discretion.

ELIGIBILITY:
This Contest is open to individuals, who are USA residents only, who are at least 13 years old at the time of entry. Note that the following geographic locations will not be eligible: Puerto Rico and Rhode Island in the United States. Quebec, Canada. Void where prohibited by law. If You are under 18 and are selected as a finalist or winner, one of Your parents or legal guardians will need to print, sign and fax back a copy of these rules and other accompanying documents in order for You to receive Your prize. Employees, agents and officers of Sponsors are not eligible to win Prizes. If any of these Contest rules are not valid where You live, then You will not be eligible to win a prize. Prize winning is open to users who engage in the KFC Media Application or individuals that complete the alternative 3 x 5 card entry described below. Additional eligibility requirements are set forth elsewhere in these Official Contest Rules.

BY ENGAGING WITH THE KFC MEDIA APPLICATION, EACH ENTRANT REPRESENTS AND WARRANTS THAT HE OR SHE MEETS THESE ELIGIBILITY REQUIREMENTS AND HAS READ, ACCEPTS AND WILL COMPLY WITH THESE OFFICIAL CONTEST RULES, AND ANY VIOLATION THEREOF MAY DISQUALIFY ENTRANT FROM THE CONTEST.

If Your child (under age 18) enters this Contest and is selected as a finalist or winner, You will need to fax back a copy of these rules with Your signature and contact information so that we can verify that You have read, understood and agreed to these Rules on behalf of Yourself and Your child. The Contest timing is TBD, 2008 – TBD, 2008. No entries will be received after the Contest has closed.

HOW TO ENTER:
THERE IS NO PURCHASE NECESSARY TO ENTER OR WIN AND A PURCHASE WILL NOT INCREASE YOUR ODDS OF WINNING. There are two separate ways to enter the Contest, but only one (1) form of entry and one (1) entry per person will be accepted:

1) Online Entry. Upon engaging with and embedding the KFC Media Application, and attracting the most votes to land in a pool from which winners will be selected – You may be eligible to win a prize. Use of any automated system to submit online entries is prohibited and will result in disqualification.

2) 3 x 5 Card Entry. Fill out a 3x5 card (“Card Entry”) labeled “KFC Rock the World Contest” with Your name, address, phone number, e-mail address, (if You have one) (all of which must be legible) and mail to YouCast, 289 Grand Street, Brooklyn, NY 11211 Attn: KFC. Use of any automated system (e.g., a photocopy machine) to submit Card Entries is prohibited and will result in disqualification. The Sponsors will not use personal information obtained through Your Card Entry, except in connection with this Contest.

The Contest is intended for viewing and participation in eligible countries only. The Contest will be construed and evaluated only according to laws of eligible geographic locations globally. Do not enter the Contest if Your primary residence is located in Puerto Rico and Rhode Island in the United States. Quebec, Canada. Void where prohibited by law. Online or Card Entries made by individuals physically located in excluded geographical locations will be disqualified. Entries become property of YouCast Corporation and will not be returned. Sponsors reserves the right to void all entries made through any robotic, automatic, mechanically programmed or similar entry duplication method and to disqualify any individual using such a method. All Online and Card Entries must be submitted to YouCast Corporation by the deadline stated here unless otherwise extended by Sponsors.

In the event of a dispute as to the identity of the entrant, any Online Entry will be deemed submitted by the holder of the e-mail account or IP address, at Sponsors’ election, from which it was sent. In the event of a dispute as to any Online Entry, the authorized account holder of the email address or IP address used to enter will be deemed to be the entrant. The “account holder” is the person assigned an email address or service by the organization responsible for assigning addresses for the domain associated with the submitted address. Winners may be required to show proof of being the authorized account holder.

YouCast or Sponsors will not return any of the entries it receives in connection with the Contest.

KFC MEDIA APPLICATION CONTENT:
By engaging with the KFC Media Application, the each entrant ("You”) agree to be solely responsible for the names, text, information, and any other content that You input, upload, publish or display (hereinafter, "post") on or through the KFC Media Application, or transmit to or share with other users (hereafter referred to as "KFC Media Application Content.") You may not post, transmit, or share KFC Media Application Content that You did not create or that You do not have permission to post.

You understand and agree that KFC, YouCast and MEC, may, but are not obligated to, review Your KFC Media Application Content and may delete or remove (without notice) any KFC Media Application Content in its sole discretion, for any reason or no reason, as well as content in the aforementioned categories, that in the sole judgment of the KFC, YouCast and MEC violates the KFC Rock the World Contest Terms and Conditions, or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of content entrants or others. You agree that You are solely responsible at Your sole cost and expense for any damages incurred from any content that You upload, input, publish, display or post in Your KFC Media Application Content.

When You post Your or any KFC Media Application Content, You authorize and direct YouCast, KFC and MEC to make such copies thereof as we deem necessary in order to facilitate the posting and storage of KFC Media Application Content. By posting KFC Media Application Content, You automatically grant, and You represent and warrant that You have the right to grant, KFC, YouCast and MEC an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such KFC Media Application Content for any purpose, commercial, advertising, or otherwise, on or in connection with the KFC Rock the World Contest or the promotion thereof, to prepare derivative works of, or incorporate into other works, and to grant and authorize sublicenses of the foregoing.

You agree to indemnify and hold MEC, YouCast, KFC, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with KFC Media Application Content, the KFC Media Application, the KFC Rock the World Contest, KFC Rock the World Contest KFC Media Application, any content You post or share (on the KFC Media Application), Your use of the KFC Media Application, Your conduct in connection with the KFC Media Application Content or with other users of the KFC Media Application Content or it's related sites, or any violation of this Agreement or of any law or the rights of any third party.

SELECTION OF GRAND PRIZE WINNER:
Within seven days after the expiration of the applicable Contest Period (subject to extension by Sponsors), a random drawing for the Grand Prize and Runner Up Prizes will be conducted from amongst all eligible Entries received in accordance with these Official Rules. Eligible Grand Prize entries from the KFC Media Application consist of the KFC Media Application with the most votes and any mailed entries per aforementioned instructions. Runner up eligible entries will consist of the next ten (10) media applications with the most votes and any mailed entries per the aforementioned instructions. All of the Online Entries and Card Entries received by YouCast will be combined into a single pool of entries and Sponsors or Sponsors’ designee (“Judge”) will conduct a random drawing. The entrant selected will be a “Winner” subject to confirmation of eligibility and full and timely completion and return of prize claiming requirements described below. Sponsors and Judge will have complete discretion over interpretation of the Official Rules, of administration of the Contest and of selection of the Winner. Decisions of the Sponsors and the Judge as to the administration of the Contest, interpretation of the Official Rules, and the selection of the Winner will be final.

PRIZING:

Grand prize will be the winner’s choice of either Grand Prize #1: Gaming Console of Choice (Wii, PS2, PS3 or Xbox360), each valued at $250.00, $100.00, $300.00, $300.00 respectively, plus the new Guitar Hero IV game, Super Bundle, valued at $200.00, which includes the Guitar Hero IV instument set and game that works with their console of choice. Or, Grand Prize #2: An online digital music gift certificate valued at $730.00. Online retailer is at Sponsors’ sole discretion. Sponsors’ will award up to (4) four of the aforementioned Grand Prizes. If the Grand Prize Winning KFC Media Application/Band (“Winning Band”) has less than (4) four members, the Grand Prizes awarded will total the number of members in the Winning Band. i.e. up to (4) Four, or less.

Runner-up prizes will consist of ten (10) Guitar Hero IV games, software only. (“game”) The ten (10) Runner Up KFC Media Applications/Bands will each receive one (1) one copy of the the Guitar Hero IV Game, software only, valued at $70.00. For the avoidance of doubt, the Runner Up KFC Application/Bands (“Group”) will receive one (1) Guitar Hero IV game, software only, for their Group. Each member of the band will not receive a game, one game per group.

ODDS:
Odds of winning the Prize depend on the total number of eligible entries received during the Contest Period. Many people may enter but few will win.

PRIZES:
Prizes are clearly stated on the Contest page at www.KFCLandingPage.com. Prize details and availability are subject to change, in which case a prize of similar or greater value will be substituted at Sponsors’ sole discretion. All Prize details not specified herein are at the sole and absolute discretion of Sponsors. The Winner will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the Prize they receive.

In the event that Sponsors are unable to provide the Winner with the Prize, as determined by the Sponsors, in their sole and absolute discretion, the Sponsors may elect to provide the Winner with the approximate value of such item in cash or award an alternate prize of comparable or greater value, at the Sponsors’ sole and absolute discretion.

The Sponsors will not be responsible for awarding any un-awarded portion of the Prize to the Winner if, the Winner undertakes activities or communicates messages or images or engages in speech publicly or made known publicly that: (a) are sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; (b) are obscene or offensive, or may create public disrepute, contempt, scandal or ridicule; (c) defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any third party’s or Sponsors’ personal or intellectual property rights or contain disparaging remarks about other people or companies; (d) are inconsistent with the positive images and/or goodwill to which the Sponsors wish to associate (which may be determined by the Sponsors, at their sole and absolute discretion); and/or (e) otherwise violate the terms of any of the agreements that the Winners have agreed to comply with as an entrant of this Contest.

WINNER NOTIFICATION AND PRIZE CLAIMING:
The Winner will be notified by email, phone or mail on or about three (3) to five (5) days following the drawing as provided above (subject to extension by Sponsors). (“Notification”, which is deemed to have happened immediately upon sending of the e-mail, placing of the phone call, or sending of the notification by mail). A potential Winner who provides a P.O. Box may be required to provide an alternative address and this may delay in Notification and acceptance and so use of a P.O. Box is discouraged. Sponsors will have no liability for any Winner Notification that is lost, damaged, intercepted or not timely received by the potential Winner for any reason. If the Winner fails or refuses to sign and return all Prize Acceptance Document (defined below) within twenty four (24) hours of Notification, that Winner may be disqualified and an alternate winner may be selected by random drawing from the remaining entrants (“Alternate Winner”).

Winners will be required to execute and return an Affidavit of Eligibility/Release of Liability/Prize Acceptance Document (“Prize Acceptance Document”). Parents or legal guardians of Winners under the age of majority in their geographic location of residence may be required to also sign the Prize Acceptance Document, in order for the Winner to be qualified for a Prize. The Sponsors reserve the right to disqualify any individual whose background check reveals information that is inconsistent with the positive images and/or goodwill to which the Sponsors wish to associate (which may be determined by the Sponsors, at their sole and absolute discretion). Sponsors’ obtaining a liability release from Winner’s companions on Sponsors’ request is a condition precedent to Winner receiving his or her Prize. In the event of noncompliance with these Official Rules, or if the Winner cannot be contacted at the address on his or her entry form within the time requirements, or if Notification is undeliverable or delayed, Prize will be forfeited and an Alternate Winner may (in Sponsors’ sole discretion) be selected in a random drawing. If an Alternate Winner cannot be verified within five (5) days following the first (1st) Notification to any potential Winner, the event portion of the Prize may remain unawarded in the event the applicable Winner(s) cannot be verified and finalized before the applicable event, and no substitute Prize will be awarded. In the event of a conflict between the Official Rules and the Prize Acceptance Document, the Prize Acceptance Document will govern.

PUBLICITY RELEASE:
Entry in the Contest constitutes permission for Sponsors and their licensees, and its and their successors, assigns and sub-licensees to use entrant’s name, likeness and biography for use, in connection with the Contest, including for advertising and/or publicity purposes, worldwide and in all forms of media and by all manners (now and hereafter known) and on and in connection with related products, services, advertising and promotional materials (now known or hereafter developed), in perpetuity, without any obligation to entrant except for the awarding of Prize(s) to Winners.

Collection of Information. All Contest entries will be associated with the internet-based electronic entry of Contest members’ personal information and other information gathered during the entry process, including but not limited to the use of cookies, which shall be initiated from and stored on YouCast servers in a manner determined in YouCast’s sole discretion. This information will only be used to contact You in the event that You are chosen to receive a prize. YouCast will not sell, rent or otherwise transfer this information to any third party. As stated above, the Contest is not open to Minors under the age of thirteen (13). In the event that You are under the age of thirteen (13) years and submit Entry Materials to the Contest, YouCast will deny and not accept the entry.

ADDITIONAL TERMS AND CONDITIONS:

By participating, entrants agree to be bound by the Official Contest Rules and the decision of the Sponsors and Judge. Entrants agree that Sponsors and their parents, each of their subsidiaries, affiliates, distributors, licensors, licensees, representatives, attorneys and advertising and promotion agencies, and each of their respective directors, officers, employees, agents, successors and assigns (“Released Parties”) (A) will not be responsible or liable for any losses, damages or injuries of any kind arising out of or related to entrant’s participation in the Contest (including, without limitation, losses, damages or injuries to entrants’ or any other person’s equipment or other property, or to their persons, related to participation in the Contest; or arising out of any violation of rights of publicity or privacy, or claims of defamation or portrayal in a false light; or based on any claim of infringement of intellectual property; or from any typographical, human or other error in the printing, offering, selection, operation or announcement of any Contest activity and/or Prize), and (B) have neither made nor will be in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, in connection with the Contest and/or with respect to Prizes, including, without limitation, to any Prize’s quality or fitness for a particular purpose; (C) maintain no control over the concert promoters, artists, venues or other persons or entities furnishing services, products or accommodations (“Vendors”) as a part of the Prize provided in connection with the Contest; and (D) will not be responsible or liable for any injury, damage, loss, expense, accident, delay, inconvenience or other irregularity that may be caused or contributed to: (1) by the wrongful, negligent or unauthorized act or omission on the part of the Vendors or any of their agents, servants, employees or independent contractors, (2) by any defect in or failure of any vehicle, equipment, instrumentality, service, product or accommodation that is owned, operated, furnished or otherwise used by any of those Vendors, (3) by the wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Released Parties, and (4) by any cause, condition or event whatsoever beyond the control of the Released Parties. The Released Parties assume no responsibility for any damage to an entrant’s computer system which is occasioned by accessing Contest-related websites or participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Sponsors reserve the right, in their sole discretion, to cancel or suspend the Contest should computer viruses or bugs, or other factors beyond their control, corrupt or interfere with the administration, integrity, operation, security or proper play of this Contest. Sponsors reserve the right, in their sole discretion, to disqualify any individual who is found to be, or suspected of, tampering with the entry process or the operation of the Contest or the Contest Websites, to be acting in violation of these Official Contest Rules, or to be acting in an un-sportsmanlike, obscene, immoral or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person, or act in anyway inconsistent with Sponsors’ images, and Sponsors reserve the right to seek damages and other remedies from any such person(s) to the fullest extent permitted by law. Sponsors reserve the right to modify, suspend or terminate the Contest, including, without limitation, make changes to these Contest Rules, by posting a notice on www.Youcastcorp.com, or www.tbd.com, in their sole discretion, including, but not limited to, if they determine, in their sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or any event(s) of force majeure has destroyed or severely undermined or impaired the integrity and/or feasibility of the Contest. Sponsors will have the authority to extend the Submission Period by posting notice thereof on the Contest Website. Sponsors are not responsible for the actions of entrants in connection with the Contest, including entrants’ attempts to circumvent the Official Contest Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Contest. Entrants agree to check the Contest Website prior to the end of the Submission Period for any changes, and to ensure that there is no need to re-enter. The invalidity or unenforceability of any provision of these Official Contest Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Contest Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsors’ failure to enforce any term of these Official Contest Rules will not constitute a waiver of that provision. Persons found tampering with or abusing any aspect of this Contest, or whom Sponsors believe to be causing malfunction, error, disruption or damage will be disqualified. By participating in this Contest, entrants hereby agree to irrevocably release and hold the Released Parties harmless from and against all losses, damages, liabilities, claims, actions, proceedings, or judgments arising out of or relating to entrant’s entry or participation in this Contest or use or misuse of any Prizes awarded hereunder.

GOVERNING LAW / JURISDICTION:
ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL CONTEST RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS’, SPONSORS OR THE RELEASED PARTIES IN CONNECTION WITH THE CONTEST WILL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK, WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS. EACH PERSON WHO PARTICIPATES IN THE CONTEST IRREVOCABLY AGREES THAT SUCH DISPUTE(S) WILL BE RESOLVED SOLELY BY BINDING ARBITRATION BEFORE A SOLE ARBITRATOR, WITH EXPERIENCE IN ADVERTISING OR PROMOTION AND ENTERTAINMENT LAW, UNDER THE RULES AND REGULATIONS OF THE AMERICAN ARBITRATION ASSOCIATION (“AAA”); PROVIDED, HOWEVER, THAT NOTWITHSTANDING THE PARTIES’ DECISION TO RESOLVE ANY AND ALL DISPUTES ARISING UNDER THIS CONTEST THROUGH ARBITRATION, SPONSORS MAY (1) SEEK TO OBTAIN INJUNCTIVE RELIEF OR OTHER EQUITABLE RELIEF FROM A COURT TO ENFORCE THE PROVISIONS OF THESE OFFICIAL CONTEST RULES; (2) BRING AN ACTION IN COURT TO PROTECT OR INTERPRET SPONSORS’ INTELLECTUAL PROPERTY RIGHTS; AND/OR (3) BRING AN ACTION TO ENFORCE THE DECISION OF THE ARBITRATOR BEFORE ANY COURT WITHIN THE APPLICABLE JURISDICTION. THE ARBITRATION WILL BE HELD IN NEW YORK, NEW YORK. THE ARBITRATOR WILL APPLY THE SUBSTANTIVE LAWS OF THE STATE OF NEW YORK, WILL ISSUE A WRITTEN DECISION AND WILL HAVE THE POWER TO AWARD ANY LEGAL REMEDIES EXCEPT AS LIMITED BY THESE OFFICIAL CONTEST RULES. THE PARTIES WILL SPLIT THE ARBITRATOR’S FEE. ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO BRING OR JOIN IN ANY CLASS ACTION REGARDING THE CONTEST.

LIMITATION OF LIABILITY:
BY ENTERING THE CONTEST, ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) PARTICIPANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. ENTRANT ACKNOWLEDGES AND AGREES THAT UNDER NO CIRCUMSTANCES WILL SPONSORS BE RESPONSIBLE FOR ANY COSTS, INJURIES, LOSSES OR DAMAGES OF ANY KIND ARISING FROM OR IN CONNECTION WITH: (1) INCOMPLETE, LOST, LATE, MISDIRECTED OR ILLEGIBLE ENTRIES OR FOR FAILURE TO RECEIVE ENTRIES DUE TO ANY CAUSE, INCLUDING, WITHOUT LIMITATION, HUMAN, TRANSMISSION OR TECHNICAL PROBLEMS, FAILURES OR MALFUNCTIONS OF ANY KIND, WHETHER ORIGINATING WITH SENDER, WITH SPONSORS OR OTHERWISE, THAT MAY LIMIT ENTRANT’S ABILITY TO PARTICIPATE IN THE CONTEST; (2) ANY INJURY OR DAMAGE RESULTING FROM PARTICIPATION IN THE CONTEST AND/OR THE USE OF ANY PRIZE (INCLUDING, WITHOUT LIMITATION, CLAIMS, COSTS, INJURIES, LOSSES AND DAMAGES RELATED TO PERSONAL INJURIES, DEATH, DAMAGES TO OR LOSS OF OR DESTRUCTION OF PROPERTY, OR ANY CLAIMS, COSTS, INJURIES, LOSSES, OR DAMAGES RELATED TO OR BASED ON ENTRANT’S RIGHTS OF PUBLICITY OR PRIVACY, OR ENTRANT’S CLAIM THAT HE OR SHE HAS SOMEHOW BEEN DEFAMED OR PORTRAYED IN A FALSE LIGHT).

AFFIDAVIT RELEASE:
As a condition of being awarded any prize, winners will be required to execute and deliver to YouCast a signed Affidavit of Eligibility, which includes an acceptance of these Official Rules and a release of liability, as well as certain other documents consistent with the purposes of these Rules.

MISCELLANEOUS:
The invalidity or unenforceability of any provision of these Official Rules or the Prize Acceptance Document will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings used herein are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof.
